The offer and issuance of the Securities to the Subscribers is being made pursuant to the exemption from the registration provisions of the 1933 Act afforded by Section 4(2) or Section 4(6) of the 1933 Act and/or Rule 506 of Regulation D promulgated thereunder.
On the Closing Date, the Company will provide an opinion reasonably acceptable to the Subscribers from the Company’s legal counsel opining on the availability of an exemption from registration under the 1933 Act as it relates to the offer and issuance of the Securities and other matters reasonably requested by Subscribers.

Our syndicate is an investment group that pools together money from multiple investors to buy income-producing propery in Florida.
The investors in the syndicate then share the profits of the sale or rental of the property, as agreed upon in the offering memorandum.
As a company, we are always trying to grow and expand. Our fund size is 75 million USD. However, once we reach that threshold, we may decide to increase the fund size to accomodate future demand from investors.
This open-ended structure allows us to take advantage of both high and low points in the real estate market. It also means we buy properties at an average cost that is lower than would otherwise be achievable.
We invest in deals that generate a minimum of 100,000 USD in net rental income per annum.

We look for properties that we can purchase and hold for the long term.

The EB-5 visa is a permanent residence that is available for foreign nationals who invest in a business in the United States that creates at least 10 American jobs.
The investment must be at least $900,000. The investor must create or preserve at least 10 full-time jobs for U.S. workers abroad over two years.
Some of the properties we invest in, come with full time staff, concierge, repair, housekeeping, electrician. So by investing in our syndicate, you get to create or maintain full time jobs.
Yes, there are business continuity policies in place. The syndicate is designed to last for multiple generations. Those will be disclosed in the private placement memorandum.
The lock-up period is 60 months. At the end of the lock-up period, we can either sell the property and share the profits, or re-appraise the property in order to get a loan and buy out the investor.
We have very strict criteria when selecting real estate acquisition targets.
We first look for properties that are in highly sought-after locations.
Second, we look for properties that have generated stable cashflow for the past 7-10 years.
Third, we make sure that the property has a net profit of at least 100,000 USD per annum after all expenses have been covered.
Fourth, we make sure there is potential for appreciation, at least 8 percent per annum.
Once those three criteria have been met, we will get the deal underwritten
The fund only carries out transactions with established banks, attorneys and realtors.
The day-to-day activities are managed by in-house staff. Transactions are audited every 90 days.
Audited financial statements will be provided to investors on a quarterly basis.
The syndicate collects 1.5% net fees upon closure of an investment.
The syndicate retains 60% equity in the properties it purchases.
The investors retain 40% equity in the purchased properties.
60% of the investor's capital is converted into debt and serviced by the syndicate.
Investors benefit from fixed income and appreciation of their equity stake in the syndicate's real estate, which can be sold at a later date.
Rent disbursements are made weekly, bi-weekly or monthly, depending on the rent payment schedule of the properties you co-invested in. Payments are made via ACH or Wire Transfer. Any transfer fees are paid by you.
You can ask us to withhold some of your payments and disburse them when you reach a minimum threshold, i.e. minimum 10,000 USD.
The investment procedure is fairly straightforward:
1. The investor, who must be an accredited investor, fills out the accredited investor declaration & requests the private placement memorandum.
2. The investor reviews, completes, countersigns the private placement memorandum & wires the funds to R. Holmes & Co. within 5 business days.
